An assignment of debt may be made by agreement between the assignor and
the creditor and shall not be enforceable against the assignee, unless he
agrees thereto. If the assignee is indebted to the assignor for a debt equal to
the assigned debt, such assignment shall be enforceable against the assignee
and third parties, in accordance with Article 240 of this Law.
