Financial Statements and Report on Company Activities 1. The board of directors shall, at the end of the company’s fiscal year, prepare the company’s financial statements as well as a report on its activities and financial position for the ending fiscal year. Said report shall include a proposal on the manner of distributing dividends. The board shall make such documents available to the auditor, if any, at least 45 days prior to the date set for the annual ordinary general assembly meeting. 2. The documents referred to in paragraph (1) of this Article shall be signed by the chairman of the company’s board of directors and its chief executive officer as well as by its chief financial officer, if any. Copies of such documents shall be maintained at the company’s headquarters and made available to shareholders.
