1. All partners shall share profits and losses in proportion to their interests in
the capital. If an agreement is made to deny any partner of profit or exempt
him from losses, such agreement shall be deemed null and void. However,

the company’s articles of incorporation may provide for a profit and loss
sharing ratio.
2. A partner whose contribution is solely in the form of work may be exempted
from sharing losses, provided that he is not paid a wage in exchange for such
work.
