1. A limited partnership is a company that comprises two groups of partners,
one group shall include at least one partner of a natural or legal personality
who shall be jointly and personally liable for the company’s debts and
liabilities, and the other group shall include at least one limited partner of a
natural or legal personality who shall not be liable for the company’s debts
and liabilities except to the extent of his interests in the company’s capital. A
limited partner shall not acquire the capacity of a merchant.
2. General partners in a limited partnership shall be subject to the provisions
applicable to partners in a general partnership.
3. Absent a specific provision in this Part, a limited partnership shall be subject
to the provisions of a general partnership.
