1. A limited partner may assign all or part of his interests to other partners in
the company.
2. A limited partner may assign all or part of his interests to non-partners upon
the approval of general partners and the limited partners owning majority
interests in the capital, unless the company’s articles of incorporation
stipulate otherwise.
3. A general partner may assign all or part of his interests to a limited partner
or non-partner in accordance with paragraph (2) of this Article.
4. If a limited partner fails to provide his interests in the company’s capital on
the due date prior to the assignment of said interests, the assignee shall be
liable for providing the same.

5. General or limited partners may join a company upon the approval of all
general partners; the approval of limited partners shall not be required,
unless the company’s articles of incorporation stipulate otherwise.
