1. Deliberations and decisions of the board of directors of a joint-stock company
shall be recorded in minutes prepared by the board secretary and signed by
the meeting chairman, attending board members, and board secretary.
2. The minutes shall be recorded in a special register signed by the chairman
of the board and board secretary.
3. Means of technology may be used to obtain signatures, record deliberations
and decisions, and prepare meeting minutes.
