Except for matters falling within the powers of the extraordinary general
assembly, the ordinary general assembly shall have the powers necessary over
all other company matters, particularly the following:
a) Electing and removing board members.
b) Appointing a company auditor, or more, in accordance with this Law;
determining his fees; and reappointing and removing him.
c) Reviewing and discussing the board’s report.
d) Reviewing and discussing the company's financial statements.
e) Reviewing the auditor's report, if any, and making a decision thereon.
f) Deciding on board proposals relating to the manner of distributing dividends.
g) Creating the company's reserves and determining their uses.
