1. A company shall acquire a legal personality upon registration with the
Commercial Register. However, a company during the incorporation period
shall have a legal personality to the extent necessary for its incorporation,
provided that said company completes the incorporation process.
2. Registration of a company with the Commercial Register shall entail the
transfer of all contracts and transactions concluded on behalf of the company
by the incorporators to the company, which shall bear all incorporation

expenses incurred by the incorporators.
3. If a company fails to satisfy the incorporation procedures as prescribed in
this Law, the persons who act or conclude transactions in the name of the
company or on its behalf shall be jointly and personally liable vis-à-vis third
parties for their acts and dispositions during the incorporation period.
