1. Without prejudice to the rights of bona fide third parties, any shareholder may
petition the competent judicial authority to invalidate a decision issued by the
shareholder assembly in violation of the provisions of this Law or the
company’s articles of association if the shareholder objects to said decision
during the meeting or if he does not attend the meeting for a valid reason. A
lawsuit filed for invalidation shall not be heard after the lapse of 90 days from

the date the decision is issued.
2. To file the lawsuit referred to in paragraph (1) of this Article, the plaintiff must
be a shareholder in the company upon filing the lawsuit and throughout its
proceedings.
