1) the Ordinary General Assembly, as may be the recommend of the Board, shall adopt a specific percentage of net profits to build up an agreed reserve allocated for a specific purpose or purposes. Any such reserve shall be distributed to the shareholders pro rata according to the percentage of the shares owned by each shareholder, unless the shareholders unanimously resolve to divert or retain all or a portion of the balance of the reserve for other purposes.
