1. If the contribution of a partner or shareholder is a right of ownership or
usufruct or any other in-kind right, he shall, in accordance with the terms of
the sales contract, be liable for his contribution in case of loss, defect, or
shortage in the contribution, and in case the warranty of title and against
infringement is breached. If the contribution is solely in the form of a personal
usufruct right to a property, the terms of the lease contract shall apply, unless
agreed otherwise.
2. If a partner’s contribution is in the form of work, he must perform such work
for the benefit of the company and not his own; any earnings arising
therefrom shall belong to the company. However, he shall not be under any
obligation to surrender to the company any intellectual property rights he may
have obtained as a result of his work, unless agreed otherwise.
