1. The company’s articles of incorporation including any increase or decrease
to the capital may be amended upon the approval of one or more partners,
representing at least three-quarters of the capital, unless the articles of
incorporation provide for a higher percentage.
2. A partner shall, upon the approval of a capital increase through the issuance
of new interests, have preemptive rights to acquire the interests issued
against cash contributions in proportion to said partner’s interest in the
company’s capital, as specified by the Regulations.
3. The company’s capital may not be increased by raising the nominal value of
the partners' interests nor may preemptive rights be suspended, without the
unanimous agreement of the partners.
