The decision to divide a company shall be issued in accordance with the
conditions prescribed for amending its articles of incorporation or articles of
association. The division decision shall include a statement of the number of
partners or shareholders, the share of each partner or shareholder in the
company or companies resulting from the division and the company subject to
division, the rights and obligations of such companies, and the manner of
distributing the assets, rights, and obligations among said companies.
